IMPORTANT: All products sold by Lumina Research Labs are strictly for IN VITRO research and laboratory use only. As an affiliate, you may never present them any other way — no medical, therapeutic, dosing, or human-use claims of any kind.
1. What These Terms Are
These Affiliate Program Terms ("Affiliate Terms") are a binding agreement between you ("you," "affiliate") and Lumina Research Labs LLC ("Lumina," "we," "us") governing your participation in the Lumina Research Labs affiliate program (the "Program"). By checking the agreement box on the affiliate application, or by continuing to participate in the Program after these Affiliate Terms are posted or updated, you accept them in full.
These Affiliate Terms supplement — and incorporate by reference — our Terms of Service and Privacy Policy. Where these Affiliate Terms and the Terms of Service conflict on a Program-specific matter, these Affiliate Terms control.
2. Eligibility and Application
To participate you must: (a) be at least 21 years of age; (b) hold a Lumina customer account in good standing; (c) provide truthful, complete information in your application; and (d) be able to receive payouts by one of the methods listed in Section 8 (our payout methods are US-based services).
Every application is reviewed personally. Approval is at our sole discretion, and we may decline any application, or revoke a prior approval, at any time and without stating a reason. Submitting an application does not make you an affiliate; your participation begins only if and when we notify you of approval and your code goes live.
3. Your Code and Referral Link
On approval, the code you requested becomes both your referral code and a live customer discount code (currently 15% off for the customer). Your code and referral link remain our property. We may change, suspend, or retire a code that is misleading, offensive, infringes a third party's rights, or conflicts with our own marks or promotions; if we do so without cause on your part, we will issue you a replacement code.
4. How Commission Works
- Base rate: 20% of the commissionable amount of each qualifying sale (see Section 5). Your then-current rate at the time an order is placed is the rate applied to that order.
- Commissionable amount: the order's product subtotal after discount-code deductions (including your customer's 15% discount). Shipping charges, taxes, and payment-related fees or adjustments are not commissionable. Our order system's calculation of the commissionable amount is final.
- Attribution: a sale is attributed to you when the customer's order is placed with your code applied at checkout (whether entered manually or auto-applied by your referral link). One affiliate code per order. We do not attribute orders retroactively.
- When commission is credited: commission is credited to your pending balance when the order is verified as paid. It is reversed if the order is later cancelled, refunded, or charged back (Section 5).
5. Qualifying Sales ("Verified Sales")
A verified sale is an order that: (a) was placed by a genuine third-party customer with your code applied at checkout; (b) has been paid in full; (c) has not been cancelled, refunded, or charged back; and (d) has not been flagged by us as fraudulent or in violation of these Affiliate Terms or our Terms of Service.
If an order is cancelled, refunded, or charged back after commission was credited, the commission is reversed and the order no longer counts toward your verified-sale total, including for milestone purposes. Purchases made on your own behalf — on your own account, with your own payment methods, at your own address, or otherwise for your own benefit — never qualify, whether or not our system blocks them automatically.
Our order system's records are the authoritative count of your verified sales, commission, and balances.
6. Reward Milestones
In addition to commission, the Program includes the following milestone rewards. Milestones are measured by your lifetime total of verified sales, net of reversals:

| 10 verified sales | Your commission rate increases from 20% to 25% for future qualifying sales. The increase is not retroactive and does not apply to the order that triggered it. It is upward-only: a higher rate we have set for you by hand is never lowered by this milestone. |
| 20 verified sales | One (1) research product of your choice per calendar month, beginning the calendar month after you reach the milestone and continuing for as long as you remain an active affiliate in good standing. Strictly one product per calendar month; unclaimed months do not roll over, accumulate, or convert to anything else. |
Reward conditions (apply to all milestone rewards):
- Rewards must be claimed by contacting us (email below or through your portal). One-time rewards must be claimed within 90 days of reaching the milestone; the monthly reward must be claimed within its calendar month. Unclaimed rewards lapse.
- You must be an active affiliate in good standing at the time of claim. Rewards are void if your participation has been suspended or terminated for cause.
- Rewards are limited to in-stock catalog products. If an item is out of stock we may offer a reasonable substitute or ask you to pick again.
- Rewards ship by standard shipping, at our expense, to your address in the continental United States.
- Rewards have no cash value, are non-transferable, cannot be exchanged for commission, credit, or payout, and may not be resold. Reselling a reward is grounds for termination.
- Reward products are research-use-only materials supplied for your own lawful in vitro research, subject to the same restrictions as any purchase under our Terms of Service.
- If sales are reversed after you reach a milestone (for example, a refund drops you from 20 to 19 verified sales), already-received rewards are not clawed back, but further monthly rewards pause until you are back above the milestone.
7. Milestone and Program Verification
Milestone unlocks shown in your portal are calculated from our order system in real time. If a display error ever shows a milestone or balance you have not actually earned under these Affiliate Terms, the underlying system records control and we may correct the display.
8. Payouts
- Balance: verified commission accrues to your pending balance, visible in your portal.
- Minimum: you may request a payout once your pending balance is at least $50.
- Methods: store credit, Zelle, Venmo, or Cash App. If you choose store credit, we add a 10% bonus to the credited amount; store credit (including the bonus) is usable only on our site, is not withdrawable, and has no cash value.
- Schedule: we process approved payout requests within 14 days of the request. Most are processed much faster, but the 14-day window is the commitment.
- Review: payout requests may be held for review where recent attributed orders are inside a plausible refund/chargeback window or show signs of fraud. We will tell you if a request is held and why, and release or adjust it when review completes.
- Accuracy of your handle: payouts are sent to the payout handle you provide. A payout sent to the handle you supplied is deemed delivered; we cannot recover funds sent to a handle you provided incorrectly.
- Corrections: we may adjust balances to correct errors, reversals, or amounts credited contrary to these Affiliate Terms.
- On exit: if you leave the Program (or we end it or your participation) other than for cause, we will pay out your verified earned balance — even if under $50 — within 30 days. If your participation is terminated for cause (fraud or material violation), unpaid commission and unclaimed rewards are forfeited.
9. Taxes; Independent Contractor Status
You are an independent contractor. Nothing in the Program creates an employment, agency, partnership, or joint-venture relationship, and you have no authority to bind Lumina or make commitments on its behalf.
You are solely responsible for all taxes on your Program earnings. We may require a completed IRS Form W-9 before releasing payouts, and we report earnings (for example, on Form 1099-NEC for US persons paid $600 or more in a calendar year) where required by law.
10. Content and Compliance Rules — Research Use Only
This section is the core of the Program and is strictly enforced. All Lumina products are sold exclusively for in vitro laboratory research. In all content, captions, comments, live streams, DMs, and any other communication that promotes Lumina or uses your code, you must:
- Present products only as research-use-only materials;
- Never make medical, therapeutic, cosmetic-benefit, weight-loss, performance, or health claims of any kind;
- Never provide or imply dosing, administration, reconstitution-for-use, or "how to take it" guidance for humans or animals;
- Never state or imply that you or anyone else personally uses, consumes, or injects the products, including before/after content, "results" content, or testimonials of use;
- Never state or imply FDA approval, or safety or efficacy in humans or animals;
- Never direct content at, or knowingly sell to, anyone under 21;
- Comply with the rules of each platform you post on (including TikTok's rules on regulated goods and branded content) and all applicable laws.
If we notify you that specific content violates this section, you must remove or correct it within 48 hours. A violation of this section is a material breach and grounds for immediate termination for cause, forfeiture under Section 8, and indemnification under Section 16.
11. FTC Disclosure
You must clearly and conspicuously disclose your material connection to Lumina in every post, video, stream, or message that promotes Lumina or shares your code or link — for example "#ad," "#affiliate," or the platform's branded-content tool — in a way viewers will see before engaging. Compliance with the FTC's Endorsement Guides (and any equivalent rules where you operate) is your responsibility.
12. Prohibited Conduct
The following are prohibited and are grounds for termination for cause:
- Self-referrals in any form, including purchases through friends, family, or accounts you control, made to farm commission or milestones;
- Placing or inducing fake, fraudulent, or bad-faith orders;
- Posting your code to coupon, deal, or promo-code aggregator sites (e.g., RetailMeNot-style sites) — your code is for your own audience;
- Running paid ads that bid on Lumina brand terms, impersonate Lumina, or present your page as an official Lumina page;
- Registering domains, handles, or pages confusingly similar to Lumina Research Labs;
- Spam, unsolicited bulk messaging, or comment-section code drops on third-party content;
- Misrepresenting prices, discounts, promotions, or product claims;
- Manipulating attribution or interfering with other affiliates' codes;
- Reselling products acquired as rewards or with your discount.
13. Fraud, Audit, and Clawback
We monitor Program activity and may audit orders, traffic, and content at any time. Where we reasonably suspect fraud or a violation, we may suspend crediting, hold payouts, and pause rewards pending review. Where fraud or a material violation is confirmed, we may void the related commissions, sales counts, and rewards; terminate your participation for cause; and recover amounts already paid on fraudulent activity, in addition to any other remedy available to us.
14. Term, Suspension, and Termination
Either you or we may end your participation at any time, with or without cause, by written notice (email suffices). On termination: your code and link are deactivated and stop crediting new orders; commission on orders placed before deactivation is honored per Sections 5 and 8; and Section 8's exit rules govern your remaining balance. Sections 9–13 and 15–19 survive termination.
15. Program Changes
We may modify, suspend, or discontinue the Program — including commission rates, milestone thresholds, rewards, payout methods, and these Affiliate Terms — at any time. Changes apply prospectively: commission already earned on verified sales is kept at the rate in effect when the sale was made, and milestone rewards already unlocked and claimed are not affected. We will give notice of material changes by email or through your portal; your continued participation after notice constitutes acceptance.
16. No Guarantee of Earnings
The Program offers a commission opportunity, not a promise of income. We make no representation about the traffic, conversions, sales, or earnings you will achieve.
17. Disclaimers; Limitation of Liability; Indemnification
The Program, portal, tracking, and reporting are provided "as is." Attribution depends on customers actually using your code at checkout; we are not liable for orders placed without it. To the maximum extent permitted by law, our total liability arising out of the Program shall not exceed the commission paid or payable to you in the three (3) months preceding the event giving rise to the claim, and we shall not be liable for indirect, incidental, special, consequential, or punitive damages.
You agree to indemnify, defend, and hold harmless Lumina Research Labs LLC and its members, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your content, promotions, statements, or claims; (b) your violation of these Affiliate Terms, the Terms of Service, or any law or platform rule; (c) your violation of any third party's rights; or (d) any use of products outside in vitro, research-use-only guidelines by you or by anyone acting on your encouragement or instruction.
18. Governing Law; Dispute Resolution
These Affiliate Terms are governed by the laws of the State of Utah, without regard to conflict-of-law provisions. Disputes are subject to the binding-arbitration, class-action-waiver, and jury-trial-waiver provisions of our Terms of Service (Sections 13–15), which apply to the Program with equal force. Venue for any non-arbitrable matter lies exclusively in the state or federal courts of Cache County, Utah.
19. Severability; Entire Agreement; Contact
If any provision of these Affiliate Terms is found invalid or unenforceable, the remainder continues in full force. These Affiliate Terms, together with the Terms of Service and Privacy Policy, are the entire agreement between you and Lumina regarding the Program and supersede any prior statements about it, including marketing descriptions on our website.
